Terms of service
How we engage, how we bill, and how disputes are handled.
Overview
These terms govern your use of stacksmesh.com and any services we provide. By using the site or hiring us, you agree to these terms. Specific engagements are governed by their own signed contracts, which take precedence over anything here.
The audit
- The audit is a fixed-scope paid service. The price at the time of payment is the price you pay.
- You receive a written PDF audit, a migration plan, and a fixed line-item quote within five business days of the audit call.
- The deliverables are yours regardless of whether you proceed with us.
- If we sign a project contract within ninety days, the audit fee is credited toward the first invoice.
- Refunds: we will refund the audit fee in full if we haven't started work yet, or pro-rata if we have.
Engagements
- All engagements are governed by a signed scope of work with line-item pricing and milestones.
- We invoice weekly during build, payable net-7. Late invoices may pause work.
- Scope changes are handled through a written change order with revised pricing.
- You own all deliverables on payment in full — code, designs, documentation.
- We retain the right to reference public-facing aspects of the work in case studies, unless your contract specifies otherwise.
Intellectual property
- Work product created for you is assigned to you on payment in full.
- We retain ownership of pre-existing components, frameworks, and tools we bring to the engagement, licensed perpetually for your use within the deliverable.
- Open-source dependencies are licensed under their own terms — disclosed in the engagement.
Warranty & liability
We warrant that the work will meet the specifications agreed in the scope of work. We provide a thirty-day post-handover stabilization window included in every engagement. Beyond that, services are provided "as is" — our liability is limited to the fees paid for the engagement giving rise to the claim.
Termination
Either party may terminate an engagement with seven days' written notice. On termination, you pay for work completed and accepted up to the termination date. We hand over all in-progress materials and documentation.
Governing law
These terms and any engagement contracts are governed by the laws of the State of Wyoming, United States. Disputes are resolved in Wyoming courts unless the engagement contract specifies otherwise.
